Customer ownership. Restaurant operators own and control their restaurant customers, order records, marketing consents, menus, brand content, app store accounts, and business operations. GastroGrowth is the platform provider and processor for restaurant customer/order data.

1. Scope And Acceptance

These Restaurant Platform Terms apply to restaurant operators and business customers that use GastroGrowth software, websites, apps, admin tools, app factory services, integrations, onboarding, deployment, support, and related services. An order form, statement of work, or signed agreement may add or override commercial terms.

2. Restaurant Owns The Customer Relationship

  • The restaurant operator is the merchant of record for restaurant orders unless a signed order form expressly says otherwise.
  • The restaurant operator owns and controls customer relationships, customer communications, order fulfillment, refund decisions, loyalty programs, promotions, marketing campaigns, menus, prices, taxes, and legal notices.
  • GastroGrowth receives only the rights needed to host, operate, secure, support, maintain, improve, and provide the platform and agreed services.
  • GastroGrowth may use aggregated or de-identified data for analytics, benchmarking, security, product improvement, and reporting, provided it does not identify a customer, restaurant customer account, or confidential restaurant data.

3. Restaurant Operator Responsibilities

  • Provide accurate legal entity, tax, billing, contact, store listing, support, and privacy contact details.
  • Maintain legally sufficient privacy notices, cookie notices, marketing consent flows, customer terms, refund/cancellation policies, and data protection records for each market where the restaurant operates.
  • Ensure all customer data provided to GastroGrowth is lawfully collected, accurate, and permitted to be processed by GastroGrowth and its subprocessors.
  • Control and verify menus, prices, fees, taxes, allergens, ingredients, nutritional information, claims, photos, availability, preparation times, delivery zones, loyalty rules, and promotions.
  • Operate food preparation, pickup, delivery, customer support, complaints, refunds, chargebacks, fraud review, accounting, tax, consumer-law compliance, and staff access management.
  • Own or lawfully control brand assets, app names, icons, screenshots, menu content, customer lists, domain names, developer accounts, payment accounts, delivery accounts, POS accounts, and third-party integrations.
  • Review exports before using them outside the platform and remain responsible for any customer data, order data, or marketing list exported to spreadsheets, PDF, POS tools, campaign tools, delivery providers, advisers, or other systems.
  • Notify GastroGrowth before a transfer, sale, closure, merger, insolvency event, change of controller identity, change of developer account ownership, or other business change that affects customer data, store listings, domains, integrations, payment accounts, or legal notices.
  • Review and approve app-store privacy labels, Google Play Data Safety answers, account deletion links, support URLs, screenshots, review credentials, and any country-specific store requirements before submission.

4. Platform Services

GastroGrowth provides hosted technology for direct ordering, storefronts, branded customer apps, business operations, menu management, customer accounts, loyalty, notifications, app factory workflows, integrations, support, and related services as enabled for the restaurant. Features may change as the platform evolves.

Beta, experimental, AI-assisted, import, recommendation, automation, or analytics features are provided for operational assistance only. The restaurant operator must review outputs before relying on them for menus, allergens, prices, legal notices, food safety, accounting, or customer communications.

Unless an order form says otherwise, the storefront, app, admin tools, delivery/rider tools, and other surfaces are based on GastroGrowth's platform templates and supported configuration options. Custom work, unsupported modifications, emergency recovery, or remediation caused by restaurant changes, integrations, data imports, credentials, or third-party providers may require a separate quote or additional fees.

5. Fees, Taxes, And Payment

Fees, billing cycle, usage limits, setup work, app factory work, transaction-related charges, payment terms, taxes, suspension rights, and renewal/cancellation terms are stated in the applicable order form or invoice. Except where required by law or expressly stated in an order form, fees are non-refundable once the service period or implementation work begins.

Paid add-ons, premium features, higher-usage tiers, app factory work, hardware, integrations, custom domains, third-party setup, store publication work, and recovery work may be billed separately. Late, failed, disputed, reversed, or partially paid invoices may lead to interest, collection costs, suspension, feature restriction, or termination as stated in the order form or permitted by law.

6. Payments, Integrations, Hardware, And Peripherals

Online payment, delivery, POS, messaging, analytics, accounting, AI, and other integrations may require the restaurant to create and maintain its own third-party account, accept third-party terms, pay third-party fees, supply credentials or API keys, complete compliance checks, and keep those accounts active. Funds from restaurant customer payments should settle to the restaurant's payment account unless an order form expressly states another model.

GastroGrowth is not responsible for cloned, stolen, disputed, unauthorized, reversed, or fraudulent payment methods, failed third-party accounts, payment provider reserves, chargebacks, delivery provider failures, POS provider outages, or third-party fee changes. Where hardware or peripherals are supplied, warranty, replacement, support, claim windows, misuse, accidental damage, consumables, and shipping terms must be stated in the order form or hardware terms.

7. Data Protection

The Data Processing Agreement at /data-processing-agreement applies whenever GastroGrowth processes personal data on behalf of a restaurant operator. The restaurant operator is controller and GastroGrowth is processor for restaurant customer/order data unless a signed agreement states another lawful role.

8. Branded App And Store Publication

Branded customer apps should be published through restaurant-owned Apple Developer and Google Play Developer accounts unless the parties expressly agree otherwise in writing. The restaurant operator is responsible for the accuracy of store metadata, legal URLs, privacy disclosures, Data Safety answers, App Privacy answers, support details, demo credentials, screenshots, regulated-business claims, and any country-specific requirements.

GastroGrowth may assist with build, submission, review, and technical compliance, but app-store approval is controlled by Apple, Google, and the restaurant's developer account status.

If Apple, Google, or another store requires the app to move to a restaurant-owned developer account, or requires additional review, verification, legal, privacy, support, or account deletion work, the restaurant must provide the required account access, approvals, credentials, payment method, legal details, and store materials. Store account fees, store taxes, review delays, rejections, and platform-policy changes are outside GastroGrowth's control.

9. Security And Access

GastroGrowth uses reasonable technical and organizational measures for platform security. The restaurant operator is responsible for staff roles, account hygiene, device security, local network security, third-party integration credentials, and prompt notice of unauthorized access or suspected compromise.

10. Intellectual Property

GastroGrowth owns the platform, code, product design, workflows, documentation, templates, analytics methods, know-how, and service improvements. The restaurant operator owns its brand content, menus, customer data, restaurant data, and uploaded materials, subject to the license needed for GastroGrowth to provide the services.

11. Term, Renewal, Cancellation, And Pausing

The subscription term, renewal model, cancellation notice period, temporary pause rules, downgrade rules, export period, and offboarding support are controlled by the order form. If no order form states a different rule, active subscriptions renew automatically for the same term unless either party gives written notice before renewal, and temporary ordering pauses do not by themselves terminate the agreement or remove already accrued fees.

12. Suspension And Termination

GastroGrowth may suspend or restrict access if fees are overdue, security is at risk, the restaurant violates these terms, the service is used unlawfully, an app-store or provider requirement requires it, or continued operation could expose GastroGrowth, customers, or other restaurants to material risk. On termination, data export, deletion, or retention will follow the order form, DPA, and legal obligations.

13. Complaints And Service Claims

Restaurant service complaints must be submitted in writing with enough detail for GastroGrowth to investigate. Claims about implementation work, hardware, configuration, integrations, billing, or support must be raised promptly after delivery, invoice, or discovery of the issue. Failure to raise a claim within the applicable order-form or legal deadline may limit available remedies.

14. Indemnity

The restaurant operator will defend and indemnify GastroGrowth from claims, losses, fines, penalties, costs, and expenses arising from the restaurant's menus, allergens, food safety, operations, customer communications, marketing, tax, refunds, delivery, payment accounts, illegal instructions, developer accounts, third-party integrations, content, or breach of these terms, except to the extent caused by GastroGrowth's breach, gross negligence, or willful misconduct.

15. Liability Limits

To the maximum extent permitted by law, GastroGrowth is not liable for indirect, incidental, special, consequential, punitive, lost-profit, lost-revenue, lost-goodwill, business interruption, loss of data, or substitute-service damages. Unless an order form states a different cap, GastroGrowth's aggregate liability is limited to the fees paid by the restaurant operator to GastroGrowth for the affected service during the three months before the event giving rise to the claim.

These limits do not apply where they are prohibited by law.

16. Assignment

GastroGrowth may assign, transfer, or subcontract the agreement or any rights and obligations connected with the services as part of a restructuring, financing, merger, acquisition, asset sale, affiliate transfer, or provider change, provided the transfer does not reduce the restaurant operator's mandatory data protection rights. The restaurant operator may not transfer the agreement, customer app, developer account responsibilities, payment setup, domains, or restaurant customer data obligations without prior written approval where the transfer affects the service or legal notices.

17. Governing Law

Unless a signed order form states otherwise, these terms are governed by Italian law and the courts of Milan, Italy have exclusive jurisdiction, subject to mandatory laws that cannot be waived.
